Taxes.

Refunds and Returns.

11. Subscriptions and Recurring Payments

If The Good Fruit offers a paid subscription or membership, the material renewal terms will be disclosed before enrollment.

  • The subscription will continue until canceled;
  • Cancellation will stop future renewals but may not retroactively refund a period already purchased;

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONSUMERS FOR CHRIST LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS; (C) PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF OR INABILITY TO USE THE WEBSITE OR ITS CONTENT; OR (D) ANY OTHER LOSS OR DAMAGE OF ANY KIND, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CONSUMERS FOR CHRIST LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE TOTAL CUMULATIVE LIABILITY OF CONSUMERS FOR CHRIST LLC TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE EXCEED THE GREATER OF: (I) ONE HUNDRED DOLLARS ($100.00), OR (II) THE TOTAL AMOUNT YOU ACTUALLY PAID TO CONSUMERS FOR CHRIST LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE FOREGOING LIMITATIONS DO NOT APPLY TO LIABILITY ARISING FROM CONSUMERS FOR CHRIST LLC'S OWN GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT, OR TO ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IF SUCH LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

24. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Consumers For Christ LLC, its members, managers, officers, employees, agents, licensors, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your access to or use of the Website;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Your User Contributions or other content you submit, post, or transmit through the Website;
  • Your infringement of any third-party right, including intellectual-property, privacy, or publicity rights; or
  • Any misrepresentation you make in connection with your use of the Website.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You agree to cooperate with our defense of such claims. You may not settle any claim that imposes any obligation or liability on Consumers For Christ LLC without our prior written consent.

25. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them or your use of the Website shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles.

To the extent any dispute is not subject to arbitration under Section 26, you and Consumers For Christ LLC each consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Santa Barbara County, California, and waive any objection to such jurisdiction or venue.

26. Dispute Resolution

Informal Resolution First.

Before initiating any formal proceeding, you agree to contact us at hello@thegoodfruit.site and describe the dispute in reasonable detail. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If the dispute is not resolved within that period, either party may proceed to arbitration as described below.

Binding Arbitration.

Except as provided in the "Exceptions" subsection below, any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or your relationship with Consumers For Christ LLC that is not resolved informally shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, if those rules do not apply, its Commercial Arbitration Rules), as modified by these Terms.

The arbitration shall be conducted in Santa Barbara County, California, or, at your election, by telephone or video conference. The arbitrator shall apply California law consistent with the Federal Arbitration Act. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Each party shall bear its own costs and attorneys' fees, except as otherwise required by the AAA rules or applicable law. The filing fees for arbitration shall be allocated in accordance with the AAA's Consumer Arbitration Rules.

No Class Actions.

YOU AND CONSUMERS FOR CHRIST LLC EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If a court or arbitrator determines that this class-action waiver is unenforceable for a particular claim, that claim shall be severed and litigated in court, while all remaining claims proceed in arbitration.

Exceptions.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual-property rights, confidential information, or other proprietary rights, without first engaging in informal resolution or arbitration. Such a filing does not waive the right to arbitrate all other claims.

Opt-Out.

You may opt out of the arbitration agreement by sending written notice to hello@thegoodfruit.site within thirty (30) days of first agreeing to these Terms. Your notice must include your name, the email address associated with your account or use of the Website, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.

27. Severability
